    Terms of Service

    This website and the associated services are owned and operated by Vanemar, Inc. (“Vanemar,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your legal rights to use or access our services, software, mobile application, and our websites (the “Services”) and Vanemar hardware products or devices ("Products"). These Terms also govern your legal rights concerning Third-Party Services.

    Please read these Terms carefully before purchasing or using the Products or Services. By purchasing, using or accessing our Products or Services, you signify your acknowledgement and consent to the terms and conditions of use set forth below. These Terms constitute a binding legal agreement between you and Vanemar (this “Agreement”).

    If you do not agree with these Terms, please do not purchase or use our Products or Services.

    1. General

    Agreement: This Agreement represents the entire understanding relating to your use of the Products and Services and prevails over any prior or contemporaneous communications between you and Vanemar.

    Eligibility:
    You must be 18 years of age or older to use the Services. By using the Services, you represent and warrant that you meet this requirement.

    Compliance:
    You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

    Account Security:
    You are responsible for maintaining the confidentiality of your account and password. You are responsible for all activity associated with your account and must notify us immediately of any unauthorized use.

    2. Critical Safety and Emergency Disclosure (Safety Disclaimer)

    IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY FOR YOUR SAFETY.

    • INFORMATIONAL PURPOSES ONLY: VANEMAR PRODUCTS AND SERVICES ARE DESIGNED FOR SITUATIONAL AWARENESS AND CONVENIENCE. THEY ARE NOT LIFE-SAVING DEVICES.

    • NO REPLACEMENT FOR REGULATORY EQUIPMENT: THE SERVICES AND PRODUCTS ARE NOT A SUBSTITUTE FOR ANY MARITIME SAFETY EQUIPMENT REQUIRED BY LAW OR REGULATION, INCLUDING BUT NOT LIMITED TO EPIRBS, GMDSS SYSTEMS, AIS, VHF RADIOS, FIRE ALARM AND EXTINGUISHING SYSTEMS, CARBON MONOXIDE OR GAS DETECTION SYSTEMS, AND PRIMARY NAVIGATIONAL OR PILOTAGE EQUIPMENT. YOU ARE SOLELY RESPONSIBLE FOR ENSURING YOUR VESSEL IS EQUIPPED WITH LEGALLY REQUIRED SAFETY GEAR.

    • NO ACTIVE MONITORING: VANEMAR IS NOT A MONITORED EMERGENCY RESPONSE CENTER. WE DO NOT MONITOR YOUR VESSEL'S STATUS IN REAL-TIME TO DISPATCH EMERGENCY SERVICES. IN THE EVENT OF AN EMERGENCY (E.G., FIRE, SINKING, MEDICAL CRISIS), YOU MUST IMMEDIATELY USE OFFICIAL DISTRESS CHANNELS (E.G., COAST GUARD, VHF CHANNEL 16).

    3. Specific Technological and Sensor Limitations

    IMPORTANT: YOU ACKNOWLEDGE THAT ALL SENSORS AND DEVICES HAVE INHERENT TECHNOLOGICAL LIMITATIONS.

    • DETECTION LIMITS: SENSORS MAY FAIL TO DETECT AN EVENT IF THE EVENT OCCURS BEYOND THE SENSOR'S PHYSICAL RANGE OR IF ENVIRONMENTAL CONDITIONS (SUCH AS AIR CURRENTS, SHIPBOARD COMPARTMENTALIZATION, HUMIDITY, OR TEMPERATURE EXTREMES) PREVENT THE SENSOR FROM OPERATING AS INTENDED.

    • TRANSMISSION LIMITS: EVEN IF A SENSOR SUCCESSFULLY DETECTS AN EVENT, THE SIGNAL MAY FAIL TO REACH YOU DUE TO INTERRUPTIONS IN POWER, DEPLETED BATTERIES, CELLULAR NETWORK OUTAGES, SATELLITE INTERFERENCE, OR "SIGNAL JAMMING."

    • PLACEMENT AND MAINTENANCE: THE EFFECTIVENESS OF THE PRODUCTS DEPENDS ENTIRELY ON PROPER INSTALLATION, PLACEMENT, AND REGULAR TESTING BY YOU. IT IS YOUR SOLE RESPONSIBILITY TO ENSURE THAT BATTERIES ARE CHARGED AND SENSORS ARE NOT OBSTRUCTED.

    • GPS ACCURACY: LOCATION TRACKING RELIES ON GPS DATA, WHICH IS SUBJECT TO POSITIONING ERRORS, SATELLITE AVAILABILITY, AND ATMOSPHERIC CONDITIONS.

    4. Insurance and Limitation of Liability

    IMPORTANT: THESE PROVISIONS ALLOCATE THE RISK BETWEEN YOU AND VANEMAR.

    A. VANEMAR IS NOT AN INSURER: YOU AGREE THAT VANEMAR IS NOT AN INSURER AND IS NOT PROVIDING YOU WITH INSURANCE OF ANY TYPE. THE FEES PAID TO VANEMAR ARE NOT INSURANCE PREMIUMS. IF YOU DESIRE INSURANCE TO PROTECT AGAINST RISK OF LOSS, YOU MUST PURCHASE IT INDEPENDENTLY FROM A THIRD PARTY.

    B. WAIVER OF SUBROGATION: YOU RELEASE AND WAIVE FOR YOURSELF AND YOUR INSURER ALL SUBROGATION AND OTHER RIGHTS TO RECOVER AGAINST VANEMAR ARISING AS A RESULT OF THE PAYMENT OF ANY CLAIM FOR LOSS, DAMAGE, OR INJURY BY YOUR INSURANCE CARRIER.

    C. LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, VANEMAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS VIZ. REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL VANEMAR'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR PRODUCTS EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE PRODUCTS OR SERVICES AT ISSUE WITHIN THE PRIOR TWELVE (12) MONTHS. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

    D. INDEMNITY: YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD VANEMAR HARMLESS FROM ANY CLAIMS ARISING OUT OF YOUR MISUSE OF THE PRODUCTS OR SERVICES OR YOUR BREACH OF THESE TERMS.

    5. Vanemar Connect Trial and Subscriptions

    You may enjoy our Vanemar Connect Plans in the following ways:

    Trials We sometimes offer trial or promotional subscriptions to Vanemar Connect Plans. Trial subscribers may at any time choose not to continue to a paid subscription at the end of the trial period. If you do not enter into a paid subscription for a Vanemar Connect Plan before the end of your trial period, your stored data, including device history, sensor history, trip history, and logs, may be deleted in 90 days.

    Paid Monthly and Annual Subscriptions When you first set up your Product through the Services, or at any time after you begin using your Product, you may enjoy our Vanemar Connect Plan by enrolling in our monthly or annual paid subscription plan, which will continue until you or we cancel your subscription.

    Unless you notify us before a charge that you want to cancel or do not want to auto renew, you understand your Vanemar Connect Plan will automatically continue and you authorize Vanemar or its affiliates (without notice to you, unless required by applicable law) to collect the then-applicable subscription fees and any taxes for each successive term, using any payment method we or our affiliates have on record for you.

    Billing and Payment Issues Subscription fees are billed or charged on the first day of the applicable subscription period. If any payment is rejected or denied, Vanemar reserves the right to cancel your subscription unless you provide us with a new payment method. If you provide a new payment method and are successfully charged before cancellation, your new subscription period will be based on the original renewal date and not the date of the successful charge.

    Direct Debit To the extent applicable, if you choose to pay by direct debit, you agree that we may take charge as early as the first day of the applicable subscription period. We will confirm the mandate by e-mail and provide advance notice of future charges after the initial charge.

    6. Intellectual Property Rights

    The Services, Products, and their entire contents are owned by Vanemar and protected by international laws. "Vanemar" and related logos are trademarks of Vanemar.

    7. Prohibited Uses

    You may use the Services only for lawful purposes. Technical misuse, scraping, data mining, or introducing harmful code is strictly prohibited.

    8. User Content and Feedback

    You retain ownership of any content (such as boat profiles, photos, and feedback) you provide through the Services. By sharing such content, you grant Vanemar a non-exclusive, worldwide, royalty-free license to use it to operate, improve, and promote the Services, subject to the terms and scope set forth in our Privacy Policy.     9. Marina Link by Vanemar

    Marina Link connects your boat to participating marinas to shorten response times.

    • Owner Approval: Data sharing (name, boat name, alarms) occurs only upon explicit approval of the registered owner. The owner may stop sharing at any time even if you are a user added by the boat owner.

    • Independent Third Parties: Marinas are independent entities. Their receipt of an alert does not create a legal obligation for them to monitor your vessel or intervene.

    • No Real-Time Dispatch: Neither Vanemar nor the marinas monitor notifications in real-time or act as an emergency response authority.

    10. Force Majeure

    Vanemar is not liable for performance failures resulting from causes beyond its reasonable control, including extreme weather, network outages, or global disruptions.

    11. Electronic Communications

    When you use Vanemar Services, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you may be communicating with us electronically. You consent to receive communications from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on this site or through the other Vanemar Services, such as our Message Center, and you can retain copies of these communications for your records. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

    12. Governing Law and Dispute Resolution

    Governing Law: State of Delaware, USA. Disputes shall be resolved through binding arbitration (AAA).

    STATUTE OF LIMITATIONS: ANY CLAIM ARISING OUT OF THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CLAIM IS PERMANENTLY BARRED.

    13. Privacy

    Your use of the Services is also governed by our Privacy Policy, which is incorporated herein by reference.
